Beneficial Ownership Filing, Done Properly

Since 1 July 2024, CIPC will not process your annual return until your beneficial ownership register is filed and current. It is a sleeper obligation that catches many businesses off guard — Balamina prepares and submits it for you, correctly and on time.

The Rule That Changed Everything

Why Beneficial Ownership Now Blocks Your Annual Return

Beneficial ownership is the register of the natural persons who ultimately own or control a company. Every South African company and close corporation is now required to file it with CIPC and keep it up to date.

What makes it urgent is the link CIPC introduced on 1 July 2024: a hard stop. Your annual return cannot be submitted until beneficial ownership has been filed and is current. In practice that means a single overlooked filing can quietly block your annual return — and a blocked annual return is what eventually pushes companies toward deregistration.

Newly incorporated companies must file within 10 business days of incorporation, and any change in ownership or control must be updated within 10 business days. We make sure the register is filed, accurate and current so it never becomes the thing standing between you and a clean compliance record.

Common Questions

Frequently Asked Questions

What is beneficial ownership filing and do I need it?
Every South African company and close corporation must file a register of its beneficial owners — the real people who ultimately own or control it — with CIPC. Since 1 July 2024, CIPC applies a hard stop: your annual return cannot be submitted until beneficial ownership is filed and current. New companies must file within 10 business days of incorporation, and any ownership change must be updated within 10 business days. Balamina prepares and submits these filings for you.
Who counts as a beneficial owner?
A beneficial owner is the natural person or persons who ultimately own or control the company — for many small businesses this is simply the individual shareholders or directors who hold or control the shares. We help you identify who must be listed and record them correctly on the CIPC register.
What happens if I don't file beneficial ownership?
Beyond being a compliance obligation in its own right, an unfiled or outdated beneficial ownership register now blocks your CIPC annual return entirely — so a missing filing can cascade into your company falling behind on its annual returns and heading toward deregistration.
How often does beneficial ownership need to be updated?
It must be kept current. New companies must file within 10 business days of incorporation, and whenever ownership or control changes, the register must be updated within 10 business days of that change.
