Common Questions

Frequently Asked Questions

What happens if I don't file my CIPC annual return?
Annual returns are due within 30 business days of your company's incorporation anniversary. Late filing attracts escalating penalties, and after two years of non-filing CIPC places the company in deregistration — it can lose its legal status, banks may freeze its accounts, and directors can be held personally liable for debts. We track your anniversary date and handle the entire process for you.
What is beneficial ownership filing and do I need it?
Every South African company and close corporation must file a register of its beneficial owners — the real people who ultimately own or control it — with CIPC. Since 1 July 2024, CIPC applies a hard stop: your annual return cannot be submitted until beneficial ownership is filed and current. New companies must file within 10 business days of incorporation, and any ownership change must be updated within 10 business days. We prepare and submit these filings for you.
Is a CIPC annual return the same as a SARS tax return?
No — they're two separate legal obligations with two different bodies. The CIPC annual return keeps your company legally registered; the SARS tax return declares taxable income. Filing one does not satisfy the other, and many business owners are caught out by this. We keep your CIPC side fully compliant and hand your tax practitioner clean, organised records.
Do I need a bookkeeper if I already have an accountant?
Yes — they do different jobs. A bookkeeper keeps your records accurate and current every month: capturing transactions, reconciling bank accounts, managing VAT. Your accountant then uses those clean records for annual financials and tax. Good monthly bookkeeping usually reduces your accounting fees, because your accountant receives organised, reconciled records instead of a shoebox.
When does a small business need HR support?
From your very first employee. South African labour law requires written particulars of employment, and proper contracts, policies and disciplinary procedures protect you long before problems arise. Outsourced HR gives you compliant documents and practical guidance without the cost of a full-time HR manager.
Can you register a new company for me?
Yes. We handle new company registrations with CIPC from start to finish — name reservation and incorporation documents — plus the compliance steps that immediately follow: beneficial ownership must be filed within 10 business days of incorporation, and we set your annual return cycle up correctly from day one.
